4. Non-Guarantee Clause for Sponsorship Opportunities

Participation in NU PI’s sponsorship opportunities does not guarantee specific research outcomes, commercial success, or financial returns. NU PI Ventures LLC makes no representations or warranties, express or implied, regarding the success, commercial applicability, or results of any collaboration or sponsorship. Sponsorship benefits, including logo display and collaborative opportunities, are provided solely based on the terms set forth here and do not imply any particular outcome.

5. Sponsorship Tiers

Educational Departments

Contribution Level: $100,000 (12-Month Sponsorship) 

Benefits Include:

- 12-Month Logo Access: Permission to display the NU PI VENTURES LLC brand and logo on approved educational equipment, promotional materials, and the sponsor’s website, subject to prior written approval by NU PI VENTURES LLC.

- Professors Collaboration Access: Engagement with NU PI’s patent-pending technology for research purposes, provided under strict non-disclosure terms and conditions.

- Monthly Research Team Meeting: A monthly meeting with NU PI’s research team to discuss insights, explore academic collaboration, and share research developments.

Commercial/Profit Institutions

Contribution Level: $1,000,000 (12-Month Sponsorship) 

Benefits Include:

- 12-Month Logo Access: Permission to display the NU PI VENTURES LLC brand and logo on approved commercial equipment, promotional materials, and the sponsor’s website, subject to prior written approval by NU PI VENTURES LLC.

- Collaboration Access: Exclusive rights to collaborate on the development and potential integration of NU PI’s patent-pending technology into commercial applications, subject to a non-disclosure agreement.

- Monthly Research Team Meeting: Monthly meetings with NU PI’s research team, offering direct insights into technological advancements under the terms of a non-disclosure agreement.

6. Introductory Video Protection

All introductory videos provided by NU PI Ventures LLC are strictly proprietary and for personal, non-commercial viewing only. Users agree to:

- Not download, share, distribute, or otherwise make any NU PI introductory videos available to third parties.

- Not alter, misrepresent, or modify the content or context of NU PI introductory videos in any manner.

- Treat all video content as NU PI’s intellectual property and use it solely as permitted by these terms.

Unauthorized use or distribution of NU PI's videos will result in immediate termination of access and may lead to further legal action to protect NU PI’s proprietary rights.

7. Intellectual Property

All materials, including logos, trademarks, technology, and presentations provided on the NU PI website, are the exclusive property of NU PI Ventures LLC. Users are prohibited from using, reproducing, or distributing NU PI’s intellectual property without express permission.

8. Limitation of Liability

NU PI Ventures LLC’s liability shall be limited to the maximum extent permissible under applicable law. The Company shall not be liable for any special, incidental, or consequential damages, including but not limited to loss of profits or data, resulting from the use or inability to use the Service.

By accessing or using the NU PI Ventures LLC website and services, you agree to hold NU PI Ventures LLC, its affiliates, partners, and sponsors harmless from any claims, liabilities, or damages arising from the use, misuse, or unauthorized use of NU PI’s content or materials. This hold harmless agreement extends to NU PI Ventures LLC’s collaborators, including but not limited to Premium Multiservice LLC DBA The Premium Advantage, developed to help users save time and money in taxes and insurance. NU PI Ventures LLC assumes no liability for accidental disclosures, technical issues, or unauthorized access of its proprietary content despite reasonable security measures.

10. "AS IS" Disclaimer

The Service, including sponsorship benefits and proprietary information, is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied. NU PI Ventures LLC does not warrant that the Service will meet specific requirements, be uninterrupted, or error-free.

11. Governing Law and Dispute Resolution

These terms are governed by the laws of Texas, USA, without regard to its conflict of law principles. Users agree that any disputes will first be attempted to be resolved informally with NU PI. If formal legal action is necessary, it will take place in the state or federal courts in Texas.

NU PI Ventures LLC expects all disputes to be handled reasonably, in good faith, and acknowledges that no specific outcomes or financial returns are guaranteed from sponsorship or collaboration with NU PI’s technology and proprietary content.
